Article I Name
1.1 Official Name
1.1.1 This organization shall be known as North Shore
Wheelers, Inc. hereinafter referred to as the NSW
Article II Status
2.1 Incorporation
2.1.1 The NSW shall be incorporated in the State of Minnesota as a non-
profit, effective January 2006
Article III Purpose
3.1 The General and Primary purpose of the NSW shall be:
3.1.1 Trail riding/wheeling street-able vehicles
3.1.2 Helping to promote the hobby of off-roading in a positive manner
Article IV Membership
4.1 Membership
4.1.1 Individual may be denied membership at any time for any reason at
the discretion of the club . Membership must be renewed annually and voted
on by the board of directors.
4.1.2 Potential members must read and sign a copy of the by-laws to
become a member
4.1.3 Members are expected to behave in a responsible manner and at all
times obey the code of conduct/trail rules.
4.1.4 Membership shall include one full time driver of legal age per entity.
An entity may include a family unit. The spouse or adult child of members
who drive must become a separate entity if they wish to drive full time.
4.1.5 Applicants for membership must attend and drive at least two (2) trail
rides with three (3) stickered members of at least one year to be considered
for membership. After the second trail ride a vote will be taken via a poll in
the NSW members section of the Northern Minnesota Trail Riders forum.
Article V Meetings
5.1 Club Meetings
5.1.1 Meetings will be held on a where ever, when ever basis, including but
not limited to time limited polls via the NSW Members section of the
Northern MN Trail Riders Forum.
5.1.2 At meetings all opinions of members are equal. It is expected that all
members voice and post in an appropriate and civil manner.
5.1.3 All final decisions are up to the NSW Membership. All major decisions
will be decided by a two-thirds (2/3) majority of the club membership via a
time limited pole in the NSW Members section of the Northern MN Trail
Riders forum. Members hold the right not to participate. But are encouraged
to voice their opinion.
Article VI Officers
6.1 Club Officers
6.1.1 The Officers of the NSW shall consist of the following four (4)
positions
6.1.2 President
6.1.2.1 Call meetings
6.1.2.2 Run Meetings
6.1.2.3 Keep the NSW on track in it’s purpose
6.1.3 Vice President
6.1.3.1 Schedule Meetings
6.1.3.2 Take minutes of meetings
6.1.3.3 Fill in for President
6.1.4 Membership Coordinator
6.1.4.1 Maintain active Roster
6.1.4.2 Make sure Members meet the Tech Inspection Sheet
6.1.4.3 Be the club contact person on the club’s website
6.1.5 Treasurer
6.1.5.1 Maintains all financial aspects of the club including member dues
and checking account.
6.2 Officers shall be elected in October via time limited poll in the NSW
section of the Northern MN Trail Riders forum and their term shall run for
one (1) year.
6.3 The President, Vice President, Membership Coordinator and Treasurer
shall make up the Board of Directors for the NSW.
Article VII Changes to By-Laws
7.1 Any member of the NSW can propose changes either on the NSW
Members section of the Northern MN Trail Riders forum or at any meeting
of the club.
7.2 Changes to the By-Laws need to be discussed on the NSW Members
section of the Northern MN Trail Riders forum for a period of at least two
(2) weeks and all members of the NSW are encouraged to give their opinion
on the matter. When the president feels that discussion has completed they
will call for a vote. A two-thirds (2/3) majority is needed to make a change
to the by-laws.
7.3 The Board of Directors has the right to over rule a change to the by
laws, a simple majority within the board is sufficient to block said change.
The board does not have the right to add to or up date the by laws with out a
vote of the members.
